Mark Norby practiced in the firm’s Corporate practice group, concentrating in the areas of corporate law, natural resources, and business transactions with an emphasis on representation of forest industries and agribusiness clients. He acted as corporate counsel to a variety of privately held companies and regularly advises senior management regarding strategy, governance and transaction matters. Mark was regularly involved in timberland and forest product facility transactions and timberland and agribusiness financings, and advises forest product and agricultural clients on a wide variety of issues, including land transactions and day to day operational issues. He has significant experience in the negotiation and structuring of loan transactions, with an emphasis on financing of timber, agriculture, and natural resource industries.

Experience

  • Represented client in New Market Tax Credit financing of Oregon and California timberland.
  • Represented client in rated, underwritten securitization of timberlands in Oregon and California.
  • Represented client in acquisition of seven composite panel facilities in Southern U.S.
  • Represented client in acquisition of stock of a Canadian forest products corporation.
  • Represented forest products company in $650 million syndicated loan facility secured by Oregon and California timberland.
  • Represented a lender group in the disposition of its timberlands for approximately $350 million.
  • Represented client in exchange of approximately $200 million of timberland in nine counties.
  • Represented life insurance company lender in numerous agribusiness loan transactions.
  • Represented major grain exporter in development of various shuttle train elevator facilities and expansion of export grain terminal.
  • Represented client in $250 million sale of wood treating business.
