Overview
Genta Iwasaki is a health care transactional and regulatory attorney. Genta has experience advising physician groups, independent physician associations, private equities investing in the health care space, pharmacies, and other health care entities in mergers and acquisitions, operational and contracting matters, general corporate counseling, provider contracting, fraud and abuse, Stark Law / Anti-Kickback Statute, government reimbursement and audit, insurance regulation, privacy and security, corporate practice of medicine, and mandatory reporting of child abuse and neglect, among others.
In addition to serving his clients, Genta serves as the Young Lawyer Liaison of the Washington State Bar Association, Health Law Section’s Executive Committee (term: 2022–2024).
Genta began his legal career with Alston & Bird in its Atlanta office where, owing to his bilingualism, he counseled Japanese corporations on their major U.S. mergers and acquisitions, investments, and general corporate governance issues. He then joined Sheppard, Mullin, Richter & Hampton LLP in its Century City office where he focused his practice on transactions in the healthcare space.
In addition to being an attorney, Genta is a licensed nursing home administrator in Washington and Colorado with membership in the Washington Health Care Association. He has a master’s degree in gerontology.
Prior to becoming an attorney, Genta worked as an account executive with KDDI America, the U.S. subsidiary of a Japanese telecommunications conglomerate, in its New York City headquarters.

Experience
- Assist a national teleradiology provider with corporate practice of medicine and Medicaid secondary payer state survey matters.
- Advise on Stark Law, Anti-Kickback Statute, and state fraud and abuse issues in connection with cross-state acquisition of radiology group and related affiliation with hospital.
- Conduct breach assessment and respond to ransomware attacks at a service provider that serves as a business associate to numerous covered entities.
- Assist large multistate behavioral health providers with child abuse/neglect mandatory reporting requirements.
- Represent leading NYC-based private equity group in its strategic partnership with another private equity group and agreement to acquire a majority interest in a leading provider of hub services for patients and providers in the healthcare space.
- Represent multistate provider of home oxygen and respiratory therapy in its ongoing limited sale process to various bidders.
- Represent Japanese industrial gas, chemical, medical, energy, and agriculture and food products company in connection with a $133 million reverse triangular merger with a manufacturer of carbon dioxide-related equipment based in Georgia.
- Represent Japanese insurance company in connection with an $8 million stock purchase acquisition of an insurance broker focusing on property/casualty and employee benefits insurance based in California.
- Represent Japanese conglomerate in connection with an option to purchase an additional 17.45% equity ownership on a fully diluted, as-converted basis of an animal pharmaceutical development and marketing company based in North Carolina.
